Apple: what a proxy statement tells you that the 10-K does not
Executive pay design, shareholder proposals and board composition are disclosed annually in a document almost nobody reads.

Key takeaways
- The DEF 14A is the governance counterpart to the 10-K and is filed annually before the shareholder meeting.
- The metrics in the bonus plan are the outcomes management is actually paid to produce.
- Recurring shareholder proposals with rising support reliably precede policy changes announced later as company initiatives.
- Final vote results appear on Form 8-K within four business days of the meeting.
- Director biographies disclose other public boards, which maps influence across a sector in an afternoon.
The annual proxy statement, filed as DEF 14A, is the governance counterpart to the 10-K. It contains the compensation discussion and analysis, the pay-versus-performance table, director biographies and independence determinations, and every shareholder proposal submitted for a vote along with the board's recommendation.
Read the incentives, then the outcomes
- Which metrics drive the annual bonus? Those are the outcomes management is paid to produce.
- How much of long-term pay is performance-conditioned versus time-vesting?
- Which shareholder proposals recurred from last year, and did support increase?
Pay versus performance, in one table
SEC rules require a table comparing 'compensation actually paid' with total shareholder return, net income and a company-selected measure over five years. It is the fastest honest read on whether pay tracked results, and it sits in the same document as the board's own explanation.
Recurring proposals with rising support are a reliable early indicator of a policy change a company will later announce as its own initiative. The vote results are filed separately on Form 8-K within four business days of the meeting.

OpenWebReview editorial note
Board composition disclosure also names other public boards each director serves on. Mapping those overlaps across a sector takes an afternoon and explains more about corporate behaviour than most strategy commentary.
